# Proximos End User License Agreement

> The terms under which Proximos is licensed to you by Enlazo Systems LLC.

## 1. License Grant

Enlazo Systems LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Proximos application ("Software") in accordance with this Agreement. The Software is licensed, not sold.

## 2. Restrictions

You may not:

* Copy, modify, or create derivative works of the Software
* Reverse engineer, decompile, or disassemble the Software
* Share, sublicense, lease, or redistribute the Software
* Use the Software outside of your licensed device limits

## 3. Device Licensing

Use of the Software is limited by subscription tier based on device count. Each device is identified by a unique macOS UUID.

## 4. Free Trial

Every new Proximos license includes a **60-day free trial**. No upfront commitment is required — your trial begins immediately upon purchase. Because Proximos can only be meaningfully evaluated against available macOS updates, the 60-day trial period is designed to allow sufficient time for Apple to release at least one or two macOS update cycles.

The following terms govern the free trial:

* Automatic tier upgrades from License Counts do **not** trigger during an active trial period.
* When your trial converts to a paid subscription, the tier is set to match your actual device count at the time of conversion.
* Only one free trial is permitted per email address.
* Cancellation of a trial at any time permanently forfeits that trial. Subsequent signup attempts using the same email address will be automatically converted to an active paid subscription immediately after subscribing

## 5. Educational Discount

Educational institutions are eligible for a **30% discount** on any Proximos subscription tier. The following terms govern the educational discount:

* Discount codes may be requested through the Proximos website. Submitting a request with an `.edu` email address will result in a discount code being emailed to your .edu address for use at checkout. Using a promotional code allows for a proper receipt to be displayed / emailed showing the discounted price. If you need to forward a receipt of purchase to an internal department, it is recommended to use a promotional code to show the discounted price.
* If you purchase Proximos using an `.edu` email address *without* a discount code, the Proximos Licensing Engine will automatically apply the educational discount to your account within 24 hours.
* Any promotional or educational discount code applied to your subscription is honored on a continual basis - including through future automatic tier upgrades.
* The Proximos Engine performs daily audits of accounts with active educational discounts. If a customer account is found not to have an `.edu` address, but entered an educational promotional discount code at checkout, the educational discount will be automatically removed.

## 6. Automated Tier Upgrade Logic

The Proximos Engine tracks the number of unique Mac UUIDs that check in against each license key over rolling 30-day windows. The following automated upgrade logic applies:

* If your active Mac device count exceeds **110% of your current subscription tier's device limit** and sustains that level for **30 consecutive days**, your subscription will be automatically upgraded.
* The upgrade applies the tier that matches your actual active device count at your next billing cycle.
* Automated tier upgrades do not occur during an active free trial period (see Section 4).

## 7. Cloud Dependency

The Software relies on proprietary cloud-based APIs operated by Enlazo Systems LLC. Unauthorized use, replication, or interference with these APIs is prohibited.

## 8. Open Source Components

Proximos includes third-party open source software components, including:

* **Nudge** (unmodified)
* **IBM Notifier** (modified for branding purposes)

Enlazo Systems LLC is not affiliated with these projects. Use of these components is subject to their respective licenses.

## 9. No Warranty

The Software is provided "as is" without warranty of any kind. We do not guarantee:

* Continuous or error-free operation
* Compatibility with all systems or configurations
* Functionality if the Software is modified, tampered with, or improperly configured

## 10. Limitation of Liability

To the maximum extent permitted by law, Enlazo Systems LLC shall not be liable for any damages resulting from:

* Use or inability to use the Software
* Configuration errors
* System incompatibilities
* Unauthorized modifications

## 11. Termination

This license terminates automatically if:

* Your subscription expires or is not renewed
* You violate any term of this Agreement

Upon termination, you must cease all use of the Software.

## 12. Updates

Enlazo Systems LLC may provide updates or modifications to the Software from time to time. Such updates may be required for continued operation.

## 13. Ownership

The Software and all related intellectual property are owned by Enlazo Systems LLC.

## 14. Governing Law

This Agreement is governed by the laws of the State of North Carolina, United States.
